WaMu Judge Receives ‘Dear Mary’ Shareholder Letter
Disclosure statements are intended to be written so an ordinary creditor knows whether to vote for or against a Chapter 11 plan. A letter from a shareholder of Washington Mutual Inc. shows how challenging it can be to decipher a complex disclosure statement.
Jake Barrett wrote last week to “Dear Judge Mary,” meaning Mary F. Walrath, the bankruptcy judge in Delaware overseeing the WaMu reorganization. He was writing on behalf of his father, who he said was “so confused he didn’t even know where to send our vote back to.”
After returning the ballot to the wrong place, Barrett said his father received additional packets of voting materials. Barrett wrote that, “Dad can’t explain to me why, except that Brian likes to confuse us all. That includes you Judge Mary.” Barrett was referring to Brian S. Rosen, one of the lawyers from Weil, Gotshal & Manges LLP representing WaMu.
Turning to the merits of the plan, Barrett said in his handwritten letter that he asked “Dad why Brian wants to give away property and stuff to everyone except us shareholders.” Barrett said he believes “they are still hiding a lot of things.” Barrett said that if he “took things and hid them under my bed, I would get in a lot of trouble and be grounded forever. Can you ground Brian?”
Barrett’s father evidently had an unsatisfactory experience with bankruptcy once before. The letter ended, saying, “Dad is afraid that Brian will do to us what happened to K-Mart shareholders. They find all the stuff after they get rid of us for good.”
Rosen didn’t return a phone call seeking comment on Barrett’s letter.
Confirmation hearings for approval of WaMu’s Chapter 11 plan begin today. Shareholders who oppose the plan filed a motion for permission to introduce confidential information into evidence at the confirmation hearing. If the motion is granted, some parts of the confirmation hearing may be conducted in secret. For Bloomberg coverage, click here.
